END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and TRENDCO LLC, a South Carolina limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of Trendco Vending Machine Invoicing (the “Service”), available at https://trendcousa.com.

By accessing or using the Service, you agree to be bound by this Agreement.

1. License Grant

Subject to compliance with this Agreement, TRENDCO LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes related to vending machine invoicing, billing, and financial management.

You may not:

Reverse engineer, decompile, or disassemble the Service
Copy, modify, or create derivative works
Resell, sublicense, lease, or distribute the Service
Use the Service for unlawful or fraudulent purposes
Attempt to gain unauthorized access to the system

2. Account Registration & Security

You must create an account to access certain features.

You agree to:

Provide accurate and current information
Maintain the confidentiality of your login credentials
Notify us immediately of unauthorized use

You are responsible for all activity under your account.

3. Fees & Payments

If the Service is offered on a paid or subscription basis:

Fees will be disclosed at the time of purchase
Payments are non-refundable unless required by law
Failure to pay may result in suspension or termination
We may update pricing with reasonable advance notice

4. Ownership of Data

You retain ownership of all data you upload, including:

Invoice records
Customer information
Vendor information
Financial and transaction data
Uploaded documents

By using the Service, you grant TRENDCO LLC a limited license to store, process, and transmit your data solely for the purpose of operating and improving the Service.

We do not claim ownership of your business data.

5. Third-Party Integrations

The Service may integrate with third-party services such as:

Payment processors
Banks or ACH providers
Accounting software
Cloud storage providers

TRENDCO LLC is not responsible for third-party service performance, security, or policies.

6. Confidentiality

We will treat your non-public business and financial information as confidential and will not disclose it except:

To provide the Service
As required by law
With your consent

7. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted or error-free access.

We may modify, suspend, or discontinue features at any time.

8. Termination

We may suspend or terminate your account if:

You violate this Agreement

Fees remain unpaid

Upon termination, access ends immediately. Data may be retained for a reasonable period for legal or operational purposes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TRENDCO LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

To the fullest extent permitted under South Carolina law:

TRENDCO LLC shall not be liable for:

Indirect or consequential damages
Loss of profits
Loss of data
Business interruption

Total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TRENDCO LLC from claims arising out of:

Your misuse of the Service
Your violation of this Agreement
Your violation of applicable law

12. Governing Law

This Agreement shall be governed by the laws of the State of South Carolina.

13. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Service constitutes acceptance of any changes.
